Terms of Service

1. Acceptance of Terms

By accessing, registering for, or using the reelmena platform (the “Platform”), you (“Merchant” or “you”) agree to be bound by these Terms of Service (“Terms”). If you are using the Platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Platform.

2. Definitions

  • “Platform” refers to the reelmena web application, API, and all associated services available at reelmena.com
  • “Merchant” refers to a business or individual who registers for an account to create and publish a video menu
  • “Visitor” refers to any person who views a Merchant's published menu via a QR code or public URL, without creating an account
  • “Content” refers to all data, text, images, videos, logos, and materials uploaded to or generated through the Platform by a Merchant
  • “Video Menu” refers to a Merchant's published set of menu items with associated videos, images, names, descriptions, prices, dietary tags, and allergen information served at their dedicated subdomain (yourname.reelmena.com)

3. Service Description

reelmena provides a digital video menu publishing platform. Our services include:

  • Creation and management of digital video menus (items, categories, up to 5 media per item)
  • Publication of menus at each Merchant's dedicated subdomain (yourname.reelmena.com)
  • Video transcoding and adaptive HLS delivery through Cloudflare Stream
  • Image storage and delivery through Supabase Storage
  • Bilingual (English + Arabic) menu support with per-tenant language toggle
  • Downloadable QR code generation for each menu URL
  • Merchant self-serve edit flow via reissuable invite links
  • Public footer with Merchant-configured contact links (phone, email, WhatsApp, Instagram, TikTok, Google Maps)

3.1 Nature of Service — Non-Financial Disclaimer

reelmena is exclusively a digital menu publishing service. The Platform facilitates the creation, distribution, and display of digital video menus for informational purposes only.

reelmena does not constitute, and shall not be construed as, a financial service, payment processor, electronic wallet (e-wallet), stored-value facility, money exchange, food-ordering marketplace, or financial institution of any kind.

Specifically:

  • No money, currency, or funds of any kind are exchanged, transferred, held, or processed between Merchants and Visitors through the Platform
  • Prices displayed within a menu are informational only and represent the Merchant's stated price at time of publish; ordering and payment happen off-Platform, directly between the Visitor and the Merchant
  • The Platform does not act as an intermediary or facilitator of any transaction between Merchants and Visitors
  • The Platform does not store, transmit, or process any Visitor payment information
  • Subscription fees paid by Merchants to reelmena are standard software-as-a-service (SaaS) fees for the use of the Platform and are unrelated to any transaction between Merchants and Visitors

As a non-financial service, the Platform is not subject to anti-money laundering (AML), know-your-customer (KYC), or other financial regulatory requirements applicable to payment processors, electronic wallets, or financial institutions under the laws of the State of Kuwait.

4. Account Registration and Security

  • You must provide accurate, current, and complete information during registration and keep it updated
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account
  • You must immediately notify us at esols.kw@gmail.com of any unauthorized use of your account
  • Invite tokens are single-use and expire after 14 days. Sharing an active invite URL grants the recipient the ability to edit and publish your menu until the token is used
  • We reserve the right to suspend or terminate accounts that provide false information or violate these Terms

5. Subscription Plans and Payment

5.1 Pre-Launch Phase

reelmena is currently in a pre-launch phase. Subscription plans, pricing, and billing terms will be finalized before we begin charging. Individuals who sign up on the waitlist form incur no payment obligation.

5.2 Billing (when enabled)

  • Subscriptions will be billed in advance on a schedule to be determined
  • All fees will be displayed in KWD (Kuwaiti Dinar) as the primary currency at the point of purchase
  • Payment will be processed through our authorized payment provider
  • Failed payments may result in service suspension until payment is resolved

5.3 Refunds

Once billing is enabled, subscription fees will be non-refundable except as required by applicable law. If you cancel your subscription, you will retain access to the Platform until the end of your current billing period. No partial refunds are issued for unused portions of a billing period.

5.4 Price Changes

We reserve the right to change subscription pricing with at least 30 days' written notice via email. Price changes will take effect at the start of the next billing period following the notice. If you do not agree with a price change, you may cancel your subscription before the new price takes effect.

6. Merchant Obligations

  • You are solely responsible for the content of your video menu, including item names, descriptions, videos, photos, prices, and contact links
  • You are responsible for honoring prices, descriptions, and any offers presented in your menu
  • You must comply with all applicable laws and regulations in your jurisdiction, including consumer protection, food-labelling, advertising, copyright, and data privacy laws
  • You confirm that you own or have the necessary rights to publish all videos, images, logos, and text you upload
  • You must not upload content that is illegal, misleading, defamatory, or infringing
  • Uploaded videos are capped at 15 seconds and 50 MB per file. reelmena may reject or remove content exceeding these limits
  • You must maintain a valid business and not use the Platform for fraudulent, deceptive, or illegal purposes

7. Visitor Terms

Visitors interact with a Merchant's published menu without creating an account. No personal information is collected from a Visitor by reelmena.

  • Visitors view menu content at yourname.reelmena.com in a browser
  • Visitors may switch the menu display language (English or Arabic) via a toggle. The preference is stored in the Visitor's browser via localStorage
  • reelmena does not process, mediate, or guarantee any transaction between a Visitor and a Merchant. Ordering, payment, and delivery (if applicable) are between the Visitor and the Merchant directly, off-Platform
  • reelmena is not responsible for a Merchant's pricing, availability, ingredient accuracy, or business practices

8. Data Ownership and Processing

  • Merchant Data: You retain ownership of all business content, menu items, videos, images, and configurations you upload to the Platform
  • Platform Data: reelmena owns all platform-generated data, including aggregated analytics, usage statistics, and system logs
  • Data Processing: reelmena processes Merchant data as a Data Controller. See our Privacy Policy for full details
  • Data Portability: Upon written request, we will provide an export of your Merchant data in a standard format within 30 days
  • Data Isolation: Each Merchant's data is logically isolated via row-level security. Merchants cannot access data belonging to other Merchants

9. Intellectual Property

  • The Platform, including its design, code, features, and documentation, is the intellectual property of esols
  • You retain ownership of your business logos, videos, images, brand assets, and content uploaded to the Platform
  • By uploading Content, you grant reelmena a non-exclusive, royalty-free, worldwide license to host, transcode, cache, display, and deliver that Content to Visitors solely for the purpose of providing the Platform services
  • You must not copy, modify, reverse engineer, decompile, or create derivative works based on the Platform

10. Prohibited Uses

You may not use the Platform to:

  • Violate any applicable laws, regulations, or third-party rights
  • Publish false, misleading, or fraudulent menu information (e.g., inaccurate prices, misrepresented ingredients)
  • Upload content that infringes on copyright, trademark, or personality rights
  • Upload malicious code, viruses, or any content designed to disrupt the Platform
  • Attempt to gain unauthorized access to the Platform, other accounts, or our systems
  • Scrape, crawl, or use automated means to access the Platform without written permission
  • Resell, sublicense, or provide access to the Platform to third parties without authorization

11. Service Availability

  • We aim to maintain high availability but do not guarantee uninterrupted access
  • The Platform relies on third-party providers (Cloudflare Stream, Supabase, Vercel). Outages or service changes at these providers may temporarily affect functionality
  • We reserve the right to modify, update, or discontinue features at any time with reasonable notice
  • We are not liable for any loss or damage resulting from service interruptions

12. Termination

12.1 By Merchant

You may cancel your subscription at any time. Access continues until the end of the current billing period. After cancellation, your data is retained for 90 days to allow for reactivation, then permanently deleted.

12.2 By reelmena

We may suspend or terminate your account immediately if:

  • You breach these Terms or our Privacy Policy
  • You fail to pay subscription fees after the grace period
  • Your use of the Platform poses a security risk
  • We are required to do so by law
  • Your account has been inactive for more than 12 months

12.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Your published menu URL will stop resolving. Uploaded videos and images will be scheduled for deletion in accordance with Section 8 of the Privacy Policy.

13. Limitation of Liability

  • The Platform is provided “as is” without warranties of any kind
  • reelmena and esols shall not be liable for any indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the total fees paid by you in the 12 months preceding the claim

14. Indemnification

You agree to indemnify and hold harmless reelmena and esols from any claims arising from your use of the Platform, your menu content, or your violation of these Terms.

15. Dispute Resolution and Governing Law

  • These Terms are governed by the laws of the State of Kuwait, including Law No. 39 of 2014 (Consumer Protection Law) and all applicable regulations issued by the Ministry of Commerce and Industry
  • Disputes shall first be attempted through good-faith negotiation for 30 days
  • If negotiation fails, disputes shall be submitted to the competent courts of Kuwait

16. General Provisions

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement
  • Severability: If any provision is unenforceable, the remaining provisions continue in full force
  • Waiver: Failure to enforce any provision does not constitute a waiver
  • Assignment: You may not assign your rights without our written consent
  • Force Majeure: We are not liable for failures due to circumstances beyond our reasonable control

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email at least 30 days before they take effect. Continued use constitutes acceptance of the revised Terms.
